Tax. Structured with purpose.

Tax advice for complex lives, businesses and wealth.

Independent, specialist advice for individuals, businesses and advisers navigating complex UK and international tax.

We advise where tax becomes complex

Tailored tax advice. Strategically considered.

Our work spans private wealth and succession planning, corporate structuring and reorganisations, international tax, specialist transactions, and HMRC investigations and disputes.

We take a bespoke approach to every engagement, considering not only the immediate tax position but the wider commercial, personal and long-term objectives that shape it.

We do not do audit, and we do not do compliance. Advice is the whole of the practice.

Our expertise

Four areas, one perspective

01

Private wealth

Protecting wealth across generations. Inheritance tax planning, family investment companies, trusts and bespoke structuring for individuals and families with increasingly complex affairs.

02

Corporate and entrepreneurial

Structuring businesses for what comes next. From incorporation and group reorganisations to R&D, EMI and EIS, we advise businesses and their owners through growth, investment and structural change.

03

International

Advice without borders. Tax and structuring advice for individuals and businesses whose affairs extend beyond the UK, coordinated with advisers in the relevant jurisdictions.

04

HMRC and disputes

When the position is challenged. Strategic representation through HMRC enquiries, investigations, settlement negotiation and proceedings before the Tax Tribunal.

Private clients

Complex wealth rarely fits into standard solutions.

Wealth can span businesses, investments, property, family members, trusts and more than one jurisdiction. We bring those elements together and advise on the wider position, not simply the tax question in isolation.

For founders and businesses

Advice that considers where the business is going — not only where it is today

We work with entrepreneurs, owner-managed businesses and corporate groups at each stage of their development.

Incorporate

Getting the ownership and structure right at the outset.

Structure

Groups, holding companies and shareholdings that fit the plan.

Grow

R&D, EMI, EIS and investment-ready structures.

Reorganise

Demergers, reconstructions and clearances.

Realise

Exit, deferred consideration and succession.

A closer view

A UK perspective with an international outlook.

Prudentia advises private clients, entrepreneurs, families and businesses where tax becomes complex — bringing the wider commercial, personal and long-term position into the conversation.

When the position is challenged

HMRC asks difficult questions. Experience decides how they end.

An enquiry or investigation can carry significant financial and reputational consequences, and what is said in the first few weeks shapes the outcome more than anything that follows. We advise from the earliest stages through to formal dispute and litigation.

Recent work

What that looks like in practice

A selection of matters the team has advised on. Details anonymised.

Property

A residential portfolio into a company, without a tax charge

Incorporation of a large individually held portfolio with no charge to capital gains tax or stamp duty land tax, including HMRC clearances and implementation alongside the client's solicitors and bankers.

Corporate

A group restructured around its treaty position

Reorganisation of a UK group to take advantage of beneficial double tax treaties, reducing corporation tax exposure within a commercial, low-risk structure.

Shareholders

Exit routes modelled before the negotiation, not after

Reports for individual shareholders on the most efficient way to leave their business, including the structuring of deferred consideration.

International

A UK group's expansion into the EU

The most efficient holding structure for the venture, with transfer pricing advice on related-party transactions in a multinational.

Private client

Legacy trust structures unwound, and wealth preserved

Restructuring for clients with historic Employee Benefit Trusts and EFRBS, and a bespoke inheritance tax strategy for an ultra-high-net-worth individual.

Why Prudentia

Independent. Specialist. Strategic. Personal.

Independent

No audit relationship, no product to sell, no institutional line to hold. The advice is the advice.

Specialist

Tax consultancy is the whole of what we do. Accountants, solicitors and trustees bring us in for exactly that reason.

Strategic

Risk calibrated against opportunity. A structure that saves tax but frustrates the objective has not worked.

Personal

Big 4 expertise and reach without the charge clock. In most cases the fee is fixed at the outset and set out in writing.

Who leads the work

Imran Ali

Chartered tax adviser · Head of UK operations

Prudentia is a Latin word meaning wisdom, insight and knowledge, and the firm was built to earn the name.

Imran has specialised in advising owner-managed businesses and their owners for over fifteen years, with a commercial orientation that comes from sitting on the same side of the table as the people running them. Immediately before establishing Prudentia he led the tax advisory offering at PwC East Caribbean, which is where the firm’s combination of rigorous UK technical work and genuine international reach comes from.

What a nudge letter actually means

HMRC already holds the data. What it does not yet have is your explanation.

Family investment companies: the questions before the structure

Control, income and succession, in that order.

Whether you are considering a transaction, protecting family wealth, dealing with an international matter or facing an HMRC investigation, we can help you understand the position and decide the appropriate next step.
